Purpose of this form. This Pledge Form records the non-binding expression of interest by a prospective investor (the “Pledgor”) in the Bridge financing of Trocar Pharma, Inc. Submission does not constitute a legally binding commitment to invest, does not reserve an allocation, and does not obligate the Company to accept a subscription. A binding commitment is made only through execution of the Note Purchase Agreement, completion of independent third-party accredited investor verification, and delivery of funds.

Self-certification below is not, by itself, sufficient to close. The Company or its designated third-party verification provider will separately request supporting documentation prior to acceptance.

• All materials provided by Trocar Pharma, Inc. in connection with this Bridge are strictly confidential and may not be reproduced, distributed, or disclosed to any third party without prior written consent.
• Submission of this Pledge Form creates no legal obligation on the part of the Pledgor to invest or on the part of the Company to accept any investment.
• The Company reserves the right to accept or reject any subscription, in whole or in part, in its sole discretion, and to modify or withdraw this offering at any time.
• Because this offering relies on Rule 506(c), the Pledgor consents to the Company's engagement of a third-party service to independently verify the Pledgor's accredited investor status prior to any binding commitment.
• All information provided in this Pledge Form is accurate and complete as of the date of submission, and the Pledgor agrees to promptly notify Trocar Pharma, Inc. of any material changes.
